The main task of the Committee is developing and providing recommendations (opinions) to the Board of Directors and the Company's executive body on the following range of issues:

  • development of principles and criteria for determining remuneration of members of the Company’s Board of Directors, members of its collegial executive body, and the person who performs the functions of a sole executive body of the Company, including a managing organization or a manager;
  • development of substantial provisions of contracts with members of the Board of Directors, members of the collegial executive body, and the person who performs the functions of a sole executive body of the Company;
  • definition of criteria for electing candidates for the Company’s Board of Directors, members of the collegial executive body of the Company, and for the position of a sole executive body of the Company, and a tentative assessment of the specified candidates;
  • regular assessment of performance of the person who performs the functions of a sole executive body (a managing organization, a manager), and the members of the collegial executive body of the Company, and preparation of offers whenever possible of their repeated appointment for the Board of Directors.
